Ambassador Terms and Conditions
YLC Policy and Procedures for the Ambassador Program
1. Compliance: Your Local City, Inc., hereafter referred to as “YLC” insists on compliance from all of the Ambassadors with all YLC policy and procedures, applicable local, state and national laws.
2. Amendments: YLC reserves the right to amend the terms and conditions of this policy and procedures and the Marketing and Compensation Plan at any time, as deemed necessary without prior notice and, Ambassador agrees to abide by any and all changes throughout their active term as Ambassador or submit their resignation within ten (10) days of publication. We will notify all active Ambassadors of any and all amendments to the policy and procedures through YLC official means of communication, including but limited to, Ambassador emails and postings on the Ambassador’s Official Websites. All amendments are binding upon distribution to the ambassador’s website and / or released from YLC to the public.
3. Ethics: Ambassadors will be honest and clear about the product and services that will be offered at all times. Do not make any guarantees or exaggerated advertising about YLC products and services. You are asked to be professional at all times and treat all people with respect. Do not discount anyone’s business as unprofessional or not warrant for advertising or promotion. An Ambassador does not have the right to decide whose business deserves promotion as long as it is a legal establishment and has a DBA or other legal business document given by the government. An ambassador will give correct income potential for the YLC Ambassador Program without any exaggerations. An Ambassador understands that any misrepresentation of the Ambassador Program can lead to termination of Ambassador active status. All Ambassadors will conduct their business and themselves in a legal and professional manner.
4. Two Levels of the Ambassador Program: Regular Ambassador is an Active Ambassador who is out in the field marketing and promoting Your Local City, Inc. and adding leads into the YLC CRM system (Administration Contact Management System). A Networking Group Leader Ambassador is an Active Ambassador who has all the responsibilities of a Regular Ambassador and also is actively running a YLC Networking Group full time.
5. Become an Ambassador: To become an Ambassador, each applicant must meet all the following criteria:
a. Be of legal age in his or her state of residence
b. Reside in the United States
c. Possess a valid Social Security Number or Federal Tax ID Number.
d. Submit an application for the YLC Ambassador Program with all areas filled in completely and the Policy and Procedure read and agreed upon. Online applications are submitted as originals. Payment must accompany the application.
6. Monthly Fee: YLC requires that all Ambassadors disclose the monthly fee collected for website hosting, maintenance, training, YLC email address ( This e-mail address is being protected from spambots. You need JavaScript enabled to view it ) and sales tools to all potential Ambassadors interested in the Ambassador Program.
7. Ambassador Benefits:
a. Receive a YLC Premier Plan Membership Advertising and Networking Benefits or higher depending on which level the Ambassador enters our program. As long as the Ambassador stays active, the Ambassador never pays for the YLC Membership benefits again.
b. Receive Leadership Training.
c. Participate in the YLC marketing and compensation program and receive bonuses and commissions, if qualified.
d. Receive periodic YLC literature, communications and tools with support and training.
e. Participate in sponsored events, shows, conferences, support, training, motivational seminars, and recognition functions, upon payment of appropriate fees when applicable.
f. Receive and be allowed to purchase YLC approved training materials, power point presentations, sales sheets, marketing fliers, directories, YLC ebooks, and any other marketing items created by YLC.
g. Receive a Unique Ambassador Web page for information to potential clients and the ability to sign people up on that website page.
h. Listed as an Ambassador on the Ambassador page on YLC website.
i. Receive a unique YLC email address. ( This e-mail address is being protected from spambots. You need JavaScript enabled to view it )
j. Have the possibility of being promoted to a YLC Networking Group Leader and run your own YLC Networking Group
k. Special Discounts or No Charge Offered Workshops, Teleconferences and webinars.
l. Incentive Programs for YLC and the Ultimate Networking Conference
m. Participation in Ambassador Recognition events
n. Special Ambassador Only Social and Business Events
8. Renewals: When you purchase an Ambassador Program, there is a one-time fee. You will receive the Membership plan that correlates to the YLC Membership plans for the entirety of your Active Ambassador Program while it is in effect. If for some reason you go into an inactive status, your YLC membership plan will discontinue after a year from the date signed on your Ambassador Program application form.
9. Refund Policy: The New Ambassador has three days from the signing date to receive a full refund and cancellation of the agreement. In the case of a cancellation, the Ambassador who made the sale will receive a deduction from their commissions.
10. Ambassador Program Cancellation: A cancellation in the Ambassador Program by an ambassador or inactivity in the ambassador program, will result in the ambassador losing their ambassador status and having their membership with YLC be converted to a regular member. As a regular member, their advertising ad with YLC will expire one year from the date of their cancellation of the ambassador program or if the date is over the year mark in which YLC notifies the ambassador of their inactivity then membership will be terminated immediately unless a new membership is purchased. No refunds will be given. Once the year contract comes due, you will have an opportunity to renew as a member of YLC.
11. Shows and Events: When a booth is purchased by YLC only Active Ambassadors are allowed to attend and participate physically in the YLC local shows and events booths! No family member, friend or associate is allowed to substitute in your place. All shows and events are voluntary but must be coordinated with the Lead Ambassador for that event. Ambassadors must be coordinated and approved by Lead Ambassador for that particular event. Only one YLC booth is allowed per event or show. The focus for the YLC booth is Membership into YLC and/or the YLC Ambassador Program. Some booths will have our member’s info out at the booth and some are not permitted.
12. Advertising: In the conduct of his or her YLC business, the Ambassador shall safeguard and promote the reputation of YLC and its products and services. The marketing and promotion of YLC, the YLC opportunity, the YLC marketing and compensation program, and YLC products and services shall be consistent with the public interest, and will avoid all discourteous, deceptive, misleading, or illegal conduct or practices at all times.
To promote the products, services and opportunities offered by YLC, Ambassadors must only use the sales aids and support materials produced and or approved by YLC. YLC has carefully designed its products, product labels, marketing and compensation program and promotional materials and checked for legal compliance. This is done to ensure that each aspect of YLC is fair, standard throughout, and truthful, substantiated and complies with all local, state and federal laws.
Ambassadors are strictly prohibited from developing their own sales ads, promotional materials and other literature without the Express written consent of YLC home office.
13. Proper use of YLC name: The name YLC Ambassador Program and other names adopted by YLC are proprietary trade names. The logo and names are supplied to Ambassadors for use only in an expressly authorized manner. Use of the YLC name on any item not produced by the company is prohibited except printed as follows:
a. Personal or Business Name
b. , an Independent Ambassador of Your Local City, Inc.
c. Your LocalCity Ambassador
d. YourLocalCity.com Independent Ambassador
Ambassadors can list themselves in the yellow or white pages as an “Independent Business Owner of Your Local City, Inc.” or under their name or their DBA (Doing Business As) name only. Ambassadors are not allowed to represent themselves as owners of YLC or YourLocalCity.com at any time on any advertisement in any form. You may not mislead anyone on the phone that they are reaching the corporate office. You should always make clear that you are an Ambassador for YLC at all times. Ambassadors shall not use YLC on their checks or business accounts. Independent Ambassador of Your Local City may be used.
Ambassadors are not permitted to “create” their own business card or letterhead graphics if YLC or logos are used. Only approved YLC graphics and wording are permitted. Letterhead and business cards must be ordered from YLC or it must be produced with YLC graphics “slick” for business cards and stationary as supplied by YLC to include the words “Independent Ambassador” on stationary and business cards. These policies also apply to any signage produced by an Ambassador.
Ambassadors may not produce for sale any website, audio recording of a company event or speech, graphics, promotional item or any other item without a written consent from YLC.
14. Media: At any time when an opportunity arises with the media, YLC should be notified immediately to get approval through the compliance department.
15. Advertising Guidelines: No advertisement may be placed under any heading that would indicate we are hiring, looking for employees or any type of employment position. Do not use Management, Sales, and Hired, full time or part time position or anything that would indicate an employment position. Any ad that sounds like a Franchise Opportunity cannot be used. Do not say “Business Opportunity” but you can say “Home Based Business Opportunity”. Do not use income claims and all advertisement should be clear that the commissions are paid on services and products sold, not enrollments and ads shall never indicate large or easy earnings. It must be clear that income is directly proportionate to effort.
Representing the capability of Ambassadors, including but not limited to the YLC Compensation plan, to make a profit, without simultaneously disclosing and presenting the Income Disclosure Statement, that not all Ambassadors can make money in YLC and that no one can be guaranteed success as an Ambassador is against the YLC policy and can be cause for termination.
YLC Ambassadors are independent contractors and all income is a result of personal effort. All advertisement must be factual. No exaggerated claims or misleading information will jeopardize an Ambassador’s active status. If income is ever mentioned it must be based on actual commissions earned that can be documented. Possible and potential may not be used as these terms infer a potential for salaried earnings.
Any advertisement, which promotes, represents or implies salaried positions, management positions, hourly wages, full or part-time or guaranteed income is considered misleading and is prohibited. The YLC Ambassador program is not a job and should not be represented in that manner. Terms such as “manager trainee”, “management positions available”, “travel provided”, “call for interview”, “positions available”, “now hiring” and any other misleading statements are not allowed as these imply employment. Other describing words that cannot be used are investment, retirement plan, business model, business opportunity or return on investment (ROI). Run all advertising in any form unless using already provided and approved ad “slicks” through YLC in any media available. Any unauthorized advertisement may lead to immediate suspension and/or termination. You can use also “Great Opportunity” or “Home Based Business Opportunity.”
16. Indemnification: An Ambassador is fully responsible for all of his or her verbal and written statements made regarding YLC products and services, and the YLC marketing and compensation program which are not expressly contained in current, official YLC materials. Ambassadors agree to indemnify YLC and hold it harmless from any and all liabilities including judgments, civil penalties, attorney fees, court costs or lost business incurred by YLC as a result of the Ambassador’s unauthorized representations.
17. Trade Shows and Events: Ambassadors may display and sell YLC services and products at local events, conferences and trade shows, however, the professional image of YLC must be considered. All signs and handouts are available to purchase from YLC for the events. Contact YLC home office to get approval to attend a show. Only one Ambassador may participate in buying a vendor booth at any show. Splitting booth space may be approved, however, all Ambassadors must uphold a sense of fair play and cooperation must be adhered to.
18. Errors or Questions: In the event an Ambassador has a question about or believes an error has been made regarding commissions, bonuses, or charges, the Ambassador must notify YLC within thirty (30) days of the date of the purported error or incident in question. YLC will not be responsible for any errors, omissions or problems after the thirty (30) days.
19. Holding Applications: All Ambassador and Membership forms must be sent to YLC within one (1) business day from the executed date.
20. Income Taxes: YLC provides an IRS Form 1099 MISC. (Non-employee Compensation) earnings statement to each Ambassador who had earnings of over $600 in the previous calendar year. An Ambassador is responsible for paying Local, State and Federal taxes on income generated as an Ambassador.
21. Independent Contractor: Ambassadors are Independent Contractors and are not purchasers of a franchise or a business opportunity. The agreement between YLC and its Ambassadors does not create an employer/employee relationship, agency, partnership or joint venture between the Company and the Ambassador. Ambassadors shall not be treated as employees for their services or for Federal, State or Local Tax purposes. All Ambassadors are responsible for paying any applicable taxes due from all compensation earned as an Ambassador. An Ambassador has no authority to bind the company to any obligation. Each Ambassador is encouraged to establish his or her own goals, hours and methods of sale, provided he or she complies with the terms of the Ambassador Agreement, Policies and Procedures and any applicable laws.
22. Insurance: Insurance (liability, business or other) is not a requirement to be an Ambassador, however, it is strongly suggested that as an Ambassador’s business grows, that the Ambassador contact their insurance provider to determine whether their coverage is adequate.
23. Sales coverage: Sales of YLC Ambassador Program and Membership may only occur within the United States boarder. Because of laws outside of the United States and other factors we are limited to the Fifty United States.
24. Ambassador Responsibilities and Obligations:
a. Fill out Ambassador Application form completely and agree to all Policies and Procedures
b. Pay $40 a month to stay as an Active Ambassador starting the on the fifth day of the following month.
c. Must complete Personal Business ad on YLC Website.
d. Must enter contact information in the YLC CRM System of all new contacts with a note on conversation.
e. Wear your YLC nametag at any YLC event.
f. Represent Yourself in a professional manner: be dressed appropriately
g. Attend Leadership Program training sessions and complete in a timely manner
h. Attend in person, on conference calls or online trainings
i. Be up to date on all YLC information, shows & events, changes and any YLC sponsor information.
j. Promote the Ultimate Networking Conference year round!
k. Use a YLC email address and check regularly
l. Promote and market YLC outside of the YLC organization in a positive and encouraging manner. Be willing to help others succeed in business.
m. Send referrals to YLC members and Ambassadors first before going outside of the organization. We are here to support and utilize our connections with our members and each other.
n. Believe in the Core beliefs of Your Local City, Inc.
· Life Long Learning: No one should ever stop learning to improve themselves and their business
· Positive Results with Positive People: We only want to surround ourselves with positive people
· Build Allies not Competitors: Find those in your own industry and build a strong, positive relationship with them.
· Network Connections: Help connect with others in your industry, who have your target market and help others who need your connections
· Referrals: Build a strong referral based business.
25. Weekly Pay: YLC believes in compensating sales. A weekly compensation period begins at Midnight Sunday (Central Time) and runs through the following Sunday at Midnight. YLC has a week delay to process applications, process payments, calculate commissions and route them through the system.
26. Change of Information: YLC Home Office must stay abreast of all information that has been changed. Notify the home office of any change in Name, address, phone number, or email address. The updated information must be sent to the home office at least two weeks prior for time to process. Faxes of changes may be sent to 866-824-7994.
27. Non-Disparagement: All Ambassadors shall set a proper example for their members. Ambassadors shall not give negative comments about YLC members, other YLC Ambassadors, YLC Networking Groups, YLC compensation or marketing plan, Company’s employees or any products or services that YLC provides. If there is a problem, please contact the home office to discuss the issue.
28. Reviewing with Interested Applicant the Policies and Procedures: All Ambassadors must review the most current version of the YLC Policies and Procedures with individuals interested in the Ambassador program before they sign the Ambassador sales agreement. Make sure the new Ambassador initials that he/she has reviewed the Policies and Procedures. Policies and Procedures may be updated at anytime. Make sure you keep the most current copy with you to review. Any questions about the Policies and Procedures, please contact the home office for help.
29. Release for use of Photo, Audio, Video Image, and/or Testimonial Endorsement: All YLC Ambassadors hereby grant to YLC and its successors, assigns, employees and agents, the absolute and irrevocable right and permission, with respect to any photograph, audio and/or video picture taken of them, or in which they may be included with others, and with respect to any testimonial endorsement:
a. To use, reuse, broadcast, rebroadcast, publish, or republish such photo, audio, video or endorsement, in all or in part, individually or in conjunction with any other photograph or video, or any other endorsement in any current or future medium and for any purpose whatsoever, including (but not limited to) marketing, advertising, promotion, and/or publicity, and,
b. In the case of visual representations, to copyright such photograph and/or video, in the original or as republished, in the name of YLC or in any other name. Ambassadors hereby confirm that the information given by them as a testimonial endorsement, or represented in a photograph, video or audio is true and accurate to the best of their knowledge. By submitting the testimonial, the Ambassador hereby waives any right that they may have to inspect or approve the finished or unfinished product or products, the advertising copy, printed, recorded, photographic or video matter which may be used in connection therewith, or the use to which it may be applied.
c. Ambassadors hereby release and discharge YLC and its and their successors, assigns, employees, and agents, from any and all liability, claim and/or demand arising out of or in connection with the creation and the use of the above mentioned photograph, video, audio or endorsement, including any claim for defamation.
30. Membership, Ambassador and product sales: The YLC Marketing and Compensation Program are based upon the sales of products and services to the end consumer and to Ambassadors.
31. Commissions: Ambassadors receive a commission on leads entered into the YLC CRM System. The lead is entered completely into the system with notes on the conversation or lack of to notify the sales person on what has been covered and then the sales rep will follow up with the lead. If the sales rep closes the sale, the Ambassador who is listed as the lead provider will receive 7 % Income Commission for Regular Ambassadors or 10% Income Commission for Executive Ambassadors (Networking Group Leader Ambassadors) on the total of the sale completed. 15% Commission is received if the Ambassador closes a Membership or Ambassador sale personally.
32. Loss of Ambassador Active Status Level: If for some reason the requirements are not met for that month’s active status level, commission income created by leads will be lost.
33. Territory Restrictions: There are no exclusive territories granted to anyone.
34. Unclaimed Commissions and Credits: Commissions, residual income and bonus checks are void after 90 days from their date of issuance.
35. Sales Goals: In order for YLC to achieve their goals and to continue growth across the United States, we must focus on bringing in new members and Ambassadors. Without this the organization would collapse. YLC is an “Advertisement Based Company with a strong emphasis on Networking Groups.” It is strongly suggested that the time be divided equally as each portion of the foundation is necessary to support the other. A required 10 new leads per month is required by all Ambassadors and must be entered into the YLC CRM system.
36. General Payment Policies: YLC will attempt to contact the Ambassador either by telephone, e-mail or regular mail to obtain another payment regarding membership, Ambassador Program payment or Ambassador Monthly payment if for some reason the submitted information or payment is not correct, has changed, has expired or was declined. If these attempts are unsuccessful after 15 days, the membership or Ambassador program will go into default and be terminated. Please notify home office as soon as you receive a new Credit Card, new expiration date or any other changes so there will be no interruptions in payment. It is the responsibility of each Ambassador to ensure there are sufficient funds or credit available in his or her account to cover the cost and fees attached to the Ambassador Program. YLC will not be responsible for any insufficient charges incurred by the Ambassador’s financial institution as a result of their insufficient funds. All forms must be filled out completely before submitting so that all areas are filled in and everything is correct on all Membership forms and Ambassador Program forms. Try and fill out the form for the new Member or Ambassador so that it is very legible. All information on the form is used by YLC to set up their ads, log ins and email them upcoming information.
37. Returned Checks: All Checks returned by an Ambassador or Member’s bank for insufficient funds will not be re-submitted for payment. A $30.00 returned check fee will be charged to the account of the Ambassador or Member. After receiving a returned check from an Ambassador or Member, YLC will require all future payments by said Ambassador to be paid by credit card, money order or cashier’s check. Any outstanding balance owed to YLC by an Ambassador or Member for NSF checks and returned checks fees will be withheld from subsequent bonus and commission checks.
38. Restriction of Third-Party use of Credit Cards and Checking Accounts: Ambassadors will not permit other Ambassadors or Members to use their personal credit card or permit debits to their checking accounts, either to enroll or make purchases from the Company. In the event this occurs, YLC will not be responsible for any changes incurred by the actual credit card or checking account holder
39. Sales Taxes- YLC does not collect sales tax for the advertisements that are purchased. YLC will be in accordance to local, state and federal laws on Sales Taxes in each area we launch. If Sales Tax must be collected due to law changes or due to a new area that requires it, the Ambassadors will be notified.
40. No Guarantees: YLC does not guarantee any outcome or promise any effectiveness of any of its Members or Ambassadors in regards to their advertising, marketing or networking participation. This is an interactive marketing program and the more someone participates in all areas the more they will usually benefit but again there is no guarantee. Information and Stats are available on each company’s advertisements. No Refunds are given after three (3) days from the contract date for all retail membership sales and Ambassador Program sales. It is the responsibility of the Member/Ambassador to submit marketing copy and photos for their ads. All ads will be uploaded by YLC home office unless the Member/Ambassador wants the log in and control over their ad themselves.
41. Disciplinary Sanctions: Violations of the Ambassador Policies and Procedures, or any illegal, fraudulent, deceptive or unethical business conduct by an Ambassador will result, in one or more of the following corrective measures:
* Issuance of a written warning or reprimand. Probation for a specific period of time may be one recourse, during which time the Ambassador will refrain from any other infractions or face more severe disciplinary consequences including:
- Loss of rights to one or more bonus and commission checks. This can be in the form of a suspension which prohibits further Ambassador activity until the case is resolved.
- Involuntary Termination of the offender’s Ambassador Agreement.
- Requiring the Ambassador to take immediate corrective measures.
- Any other measures expressly allowed within any provision of the Agreement.
- Any other measures which YLC deems practicable to implement and appropriate to equitably resolve injuries caused partially or exclusively by the Ambassador’s policy violation or contractual breach.
- Under the most serious of cases, YLC may withhold from an Ambassador all or part of the Ambassador’s bonuses and commissions during the period that YLC is investigating any conduct allegedly in violation of the Agreement. If an Ambassador’s business is canceled for disciplinary reasons, said Ambassador will not be entitled to recover any commissions withheld during the investigation period.
- YLC may institute legal proceedings for monetary and/or equitable relief or prosecute criminally at their sole discretion.
42. Grievances and Complaints: When an Ambassador has a grievance or complaint with another Ambassador or Networking Specialist (Sales Rep) regarding any practice or conduct in relationship to their respective YLC businesses, the complaining Ambassador shall first report the problem to his or her Regional Sales Director who will review the matter and attempt to resolve such issues. If the issues cannot be resolved, it must be reported in writing to YLC Compliance Department. The Compliance Department will review the facts and attempt to resolve the said issues. In the event said issues cannot be resolved, the grievances shall be referred to the Dispute Resolution Board for final review and determination. Ambassador’s Regional Sales Director has no authority to resolve any issues that circumvent, oppose or contradict the Ambassador Policies and Procedures or the YLC marketing and compensation plan.
43. Governing Law, Jurisdiction and Venue: Jurisdiction and venue of any matter not subject to arbitration shall reside in Williamson County, Texas. The law of the State of Texas shall govern all disputes arising from the Ambassador Agreement.
